STANDARD TERMS AND CONDITIONS

Erasmus Expo S.L. / Coffee Rentals

1. Definitions:

1.1 “Coffee Rentals” refers to the rental division of Erasmus Expo S.L.

1.2 “Client” refers to the person, firm, company, corporation or authority specified in the Rental Agreement as the Client and includes his, its or their successors or personal representatives.

1.3 “Equipment” refers to all rented items, including but not limited to coffee machines, accessories, furniture, signage, and any other materials specified in the Rental Agreement.

1.4 “Event” refers to the specific occasion, exhibition, or trade show for which the Equipment and/or other materials or items are rented.

2. Rental Period:

2.1 Coffee Rentals agrees to rent the Equipment to the Client for the specified Event(s) as outlined in the Rental Agreement.

2.2 The Rental Period begins on the date specified in the Rental Agreement and ends on the date specified as the return date.

3. Rental Fees and Payment:

3.1 The Client shall pay Coffee Rentals the agreed-upon rental fee for the Equipment, as detailed in the Rental Agreement.

3.2 If agreed, payment of the agreed-upon rental fee must be made by the Client in advance before the Event, or afterwards after receipt of the invoice and within 7 days after the stated invoice date.

4. Security Deposit:

4.1 If agreed, the Client shall provide a security deposit as specified in the Rental Agreement.

4.2 The security deposit will be refunded to the Client after the return of the Equipment in good condition, subject to any deductions for damages or missing items.

5. Equipment Care:

5.1 The Client is responsible for the care and safekeeping of the rented Equipment.

5.2 The Client shall use the Equipment only for its intended purpose and follow any operating instructions provided by Coffee Rentals.

5.3 Any damage or loss of Equipment during the rental period is the responsibility of the Client and may result in the forfeiture of the security deposit (if applicable) or by receiving an invoice regarding the damage in question.

6. Setup and Maintenance:

6.1 Coffee Rentals will deliver, set up, and provide basic maintenance for the Equipment as agreed upon in the Rental Agreement.

6.2 The Client is responsible for providing and maintaining appropriate services to electric connection points for the Equipment, as specified in the Rental Agreement.

6.3 The Client shall not attempt to move, repair, or modify the Equipment and materials without the consent of Coffee Rentals.

7. Usage of Equipment and Materials:

7.1 Coffee Rentals is responsible for supplying the necessary ingredients and consumables for the Equipment, such as coffee beans, coffee cups, sugar sticks, stirrers, sweeteners and spring water for the coffee machines, as specified in the Rental Agreement.

7.2 The Client is responsible for ensuring that the Equipment are operated properly to avoid misuse.

7.3 In the event of malfunction of the Equipment such that the Equipment is not capable of use, the Client shall contact Coffee Rentals as soon as possible so that Coffee Rentals is able to arrange a qualified engineer in time to try to repair the Equipment or by replacing it.

8. Cancellation:

8.1 If the Client cancels the Rental Agreement 7 days or less before the Event, Coffee Rentals may retain a portion of the rental fee as specified in the Rental Agreement.

8.2 Coffee Rentals reserves the right to cancel the rental for any reason. In such cases, Coffee Rentals will refund all fees paid by the Renter.

9. Liability:

9.1 Coffee Rentals is not liable for any injury, damage, or loss of property that may occur as a result of using the rented Equipment.

9.2 The Client is responsible for obtaining any necessary insurance coverage for the Event and agrees to indemnify and hold Coffee Rentals harmless from any claims or liabilities.

10. Termination:

10.1 Coffee Rentals may terminate this Agreement if the Client fails to comply with any of its terms and conditions.

10.2 In the event of termination, Coffee Rentals will not be liable for any refund of rental fees.

11. Delivery and Return:

11.1 Coffee Rentals will deliver the Equipment to the specified location on the agreed-upon date, as specified in the Rental Agreement.

11.2 The Client will ensure that Coffee Rentals has access to the specified location through at least one access badge or entrance ticket and also provides at least one access badge or entrance ticket to the specified location throughout the rental period.

11.3 The Client is responsible for inspecting the Equipment upon delivery and notifying Coffee Rentals of any damage or missing items.

11.4 Coffee Rentals will pick up the Equipment on the agreed-upon return date, as specified in the Rental Agreement and in the same condition as received, normal wear and tear excepted.

12. Sub-renting:

12.1 The Client shall not sub-rent, loan, or transfer the Equipment to any third party without the express written consent of Coffee Rentals.

13. Force Majeure:

13.1 Neither Party shall be liable for any delay or failure to perform its obligations under this Agreement due to circumstances beyond its control, including but not limited to acts of nature, war, acts of terrorism, strikes, and government regulations.

14. Governing Law:

14.1 This Agreement shall be governed by and construed in accordance with the laws of Spain.

14.2 Any disputes arising from this Agreement will be subject to the exclusive jurisdiction of the courts of Spain.

15. Entire Agreement:

15.1 By agreeing, accepting or confirming to the Rental Agreement, whether written or oral, both parties declare and acknowledge that they have read and understood the terms and conditions outlined herein and agree to abide by them.
